我的朋友想在英国设立一个办事处/代表处，他们有注册公司在英属维京群岛，但是需要在英国本土设立个办事处。 不太知申请办事处的要求， 办事处是不是有个常驻代表就可以了？和公司注册有什么不同，目前持工签的人是否可以做这个代表？办事处的地址能否是私人住宅地址？ 哪位朋友做过这方面的工作，能否给些信息参考，非常感谢。

I had a look of the company house website, and roughly learnt about applying procedures for the 'place of business' which can serve as a representative office. It looks simple, but there are a couple of things I am not quite clear, if you guys happen to have gone through the procedure before, you might be able to give me some hints, thank you in advance.
1. the address of the 'Place of business', can this address be the representative's home address?
2. if the 'representative' is a work permit holder, doesn't have PR, is he/she eligible for being a 'representative'?

如果你要有贸易往来，你必须要在Company House注册，地址无所谓，但是必须要有2人以上。
如果你持有工作签证，最好不要用你的名字注册，因为不合法，最近Home Office 会偶尔抽查，一旦发现持有工签的人在英国从事第二职业，会带来不少麻烦。
你这个问题很巧，我前天才咨询的律师。
谢谢你的回复。估计这个公司暂时不会有业务往来，业务都会在总部做，这里只需要一个地址和注册号。 工签是不是在工作时间之外也不能从事第二职业？

如果你要注册，公司必须要两个人，一个是director,一个是秘书，而且三个月内你必须向税务局注册Trading的日期（当然你可以找各种理由推迟）。
我担心的是你的工签问题，因为作为工签持有人不得注册'director'或是持有公司10%以上的股份，即使你兼职第二职业，也必须和你工签一样的职业，而且每周不能超过20个小时。如果你注册为‘director'，特别是在公司已经开始TRADING的情况下（如果不trading,干嘛要注册公司呢？），肯定会影响你将来申请PR，除非你不想拿PR。
